(Digital Ink) provides World Wide Web page hosting and related services.

Digital Ink reserves the right to suspend or cancel a customer's access to any or all services provided by Digital Ink when Digital Ink decides that the account has been inappropriately used or is in default of payment.

Server Use

Standard web host contracts are to be used by the primary owner only. Web host contract services are defined as allowing a customer to host web site content on Digital Ink's web servers. Standard web host contract holders are not permitted to re-sell, store or give away their Digital Ink web host contract services to third parties.

Exceptions to this include banners, classified advertisements, and personal advertisements.

At all times Digital Ink reserves the right to refuse service and / or access to its servers to anyone.

At all times Digital Ink reserves the right to remove any material in violation of any UK, European or International Laws or Regulations at their sole discretion, without prior notice.

All user defined CGI's and scripts are subject to examination and acceptance by Digital Ink before being installed onto any of its systems.

Digital Ink do not allow any of the following content to be stored on its servers:

Illegal Material

This includes copyrighted works, commercial audio, video, or music files, and any material in violation of any UK, European or International Laws or Regulations. Adult MaterialIncludes all pornography, erotic images, or otherwise lewd or obscene content. The designation of "adult material" is left entirely to the discretion of Digital Ink.

Warez includes pirated software, ROMs, emulators, phreaking data, unauthorised email addresses, hacking data, password cracking data, IP spoofing software, etc., as well as encryptions of any of the aforementioned. Also includes the details of sites which provide "links to" or "how to" information about such material.

Excessive Use

High Bandwidth Usage
Digital Ink maintains high levels of performance for each customer by applying a maximum bandwidth allocation to each web host contract. The limits imposed on bandwidth are specified within each contract package.

High Processor Utilisation
Digital Ink offers an unlimited use policy by maintaining very high ratios of processor resources per customer.

In rare cases, Digital Ink may find a customer to be exceeding their allocated bandwidth, or monopolising processor utilisation resources to such and extent that they are jeopardising performance for other customer. In such instances, Digital Ink reserves the right to impose the High Resource User Policy for the consideration of all customers.

High Resource User Policy
Resources are defined as bandwidth and / or processor utilisation. Digital Ink may implement the following policy to its sole discretion:

When a web host contract is found to be monopolising the resources available, the account holder will be contacted in order to discuss the situation. If no arrangement can be reached, Digital Ink reserves the right to suspend or terminate the account without notice.

Each web host contract includes a nominated amount of bandwidth for use in each calendar month. If you contract exceeds this allocation then you agree to pay for additional bandwidth at the rate of £20.00 +VAT (UK Sterling) per 1Gb of bandwidth.

Payment Policies

All web host contract pricing is guaranteed for the contract term. Digital Ink reserves the right to change prices at any time. Payment is due each anniversary month or period following the date that the account was established. The customer is responsible for all money owed on the account from the time it was established to the time that the customer notifies Digital Ink in writing for a request for termination of services. All payment should be made in UK £ Sterling.

Digital Ink will not relinquish ownership of web site designs, until they have been paid for in full. Furthermore, Digital Ink reserve the right to prevent the release of domain names and / or the broadcast of web sites and / or the use of email, if invoices are not settled in a timely manner, as specified in the payment terms noted on each invoice.

Cancellation

Digital Ink reserves the right to cancel Web Host services at any time. Fees paid in advance of cancellation will be prorated and paid by Digital Ink if Digital Ink institutes its right of cancellation. If cancellation is caused by the customer's violation of these policies, then no refund will be due.

Customers may cancel their web host contract by giving Digital Ink not less than 90 days written notice of cancellation. All fees outstanding to Digital Ink for the web site contract up to the close of the contract will be prorated and invoiced on receipt of the written notice of cancellation. All fees paid in advance of cancellation will be prorated and credited by Digital Ink at the close of the contract.

Indemnification

The customer agrees that it shall defend, indemnify, save and hold Digital Ink harmless from any and all demands, liabilities, losses, costs and claims, including reasonable legal fees asserted against Digital Ink, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agree to be performed or any product sold by the customer, its agents, employees or assigns. The customer agrees to defend, indemnify and hold harmless Digital Ink against liabilities arising out of any injury to person or property caused by the products sold or otherwise distributed in connection with Digital Ink's server; any material supplied by the customer infringing or allegedly infringing on the proprietary rights of a third party; copyright infringement and any defective products sold to any customer from Digital Ink's servers.

Disclaimer

Digital Ink will not be responsible for any damages your business may suffer. Digital Ink makes no warranties of any kind, expressed or implied for services we provide. Digital Ink disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery and any and all service interruptions, howsoever caused. Digital Ink reserves the right to revise its policies at any time.

Intellectual Property

Except where explicitly agreed otherwise, Digital Ink retain copyright to all program code, scripts , libraries, database structure and procedures developed by the company. Hosting clients are licensed to use this material whilst it remains on the Digital Ink network or its nominated third parties. Where Digital Ink provide access to this material it is for the purposes of maintaining the clients' website, it must not be downloaded, transferred to any third parties or used for any other purpose.

Images and client supplied materials Images provided by the client for publishing on their website are deemed to be copyright of the respective owner or that the client has the permission to use the image. The client will indemnify Digital Ink against any copyright claims for the use of any supplied material.

In the case where Digital Ink retouch, re-draw, or otherwise prepare images for hosting the copyright of the image belongs to the client but the prepared image belongs to Digital Ink. Any images, graphics or images, created by Digital Ink, unless expressly stated remain the companies' copyright.

Hosting Only - Databases and Web Site Content

Data and/or web pages uploaded/stored by clients on Digital Inks servers belongs to the client. The client is responsible for the integrity and maintainance of the is data and for off-server backups. Digital Ink will not re-sell or use this data for any other purpose. Digital Ink will only access this data for the purpose of maintaining the site, transferring it or for other technical purposes. Security of the data is the responsibility of the client. Digital Ink cannot be held responsible for unauthorised access to the data for which it has no control. Including but not limited to, exploits or vulnerabilities in the software, password disclosure by the client.
